Registering an MTÜ in Estonia

Registering an MTÜ in Estonia
November 3, 2026
Author:

MTÜ (mittetulundusühing) — an Estonian non-profit organisation: a legal entity established to fulfil its statutory purpose rather than to make a profit. It requires no authorised capital, has two founders, and can be registered in the Commercial Register within a few days.

This is the most underrated legal form in Estonia. Industry associations, sports clubs, educational and charitable projects, housing associations, developer communities and support foundations all operate through MTÜs. We set up MTÜs for residents and non-residents, including articles of association tailored to your purpose and the mandatory address and contact person, should the board be based abroad.

Key facts

TopicPractical explanation
What is itA mittetulundusühing is a non-profit organisation that is a fully-fledged legal entity
FoundersAt least two — natural or legal persons
Authorised capitalNot required
Citizenship of the foundersNo restrictions; residency in Estonia is not required
Registration timeUp to five working days, provided all documents are in order
Online registrationPossible if all founders have a digital ID or e-Residency
Distribution of profitsProhibited — profits must be used for the company’s statutory purpose
Business activitiesPermitted, but cannot be the primary purpose
Annual reportAlways mandatory, even if there is no activity
Management abroadA registered address and a contact person in Estonia are required
Tax reliefThrough inclusion on the list of organisations eligible for income tax relief — a separate procedure

Four steps to setting up an MTÜ

1
Submit an application — tell us about the purpose of the association and who the founders will be
2
To approve the articles of association — the purpose, membership procedures, composition of the board, and membership fees
3
Sign documents — online using a digital signature, at a notary’s office or by power of attorney
4
Submit to the registry — registration takes up to five working days
Four steps to setting up an MTÜ

The most common question at this stage is about the second founder. You need to find one in advance: registration is not possible without two founders. This could also be a legal entity.

What is an MTÜ used for?

What is an MTÜ used for?

Being a non-profit organisation does not mean ‘no money’. An MTÜ can generate income — it simply does not distribute it amongst its members.

  • Industry associations and organisations — membership fees, joint projects, representing the interests of the sector;
  • Sports and cultural clubs – the most common category in Estonia;
  • Charitable and educational projects – fundraising, grants, programmes;
  • Housing associations – management of common property;
  • Communities and open projects — where a legal entity is required for contracts and grants, but there is no intention to make a profit.

The distinction is simple: if you want to take money out of the company for yourself, it’s an OÜ, not an MTÜ.

Can an MTÜ carry out commercial activities?

Can an MTÜ carry out commercial activities?

This is the key question, and the answer requires precision. Yes, but not as the primary objective. The association may sell tickets, run paid courses or let out premises — provided the revenue goes towards its statutory purpose.

Where is the line drawn? If commercial activities become the main focus of the organisation’s work, the tax authorities may reclassify its activities, with all the associated tax implications. This must be set out in the articles of association, rather than being sorted out after the event.

An MTÜ may pay salaries – including to board members – in accordance with the standard rules on income tax. This is not considered a distribution of profits.

List of tax reliefs and donations

Registration as an MTÜ does not, in itself, confer any tax benefits – this is the second common misconception. Tax relief becomes available only after the organisation is included on the list of associations eligible for income tax relief, which is maintained by the Tax and Customs Board. This is a separate procedure with its own requirements regarding the organisation’s purpose, transparency and actual activities.

Why is this necessary? Private donors receive a tax relief on donations to such organisations, whilst the organisation itself appears more trustworthy to grant-makers. Donations can still be accepted without being on the list, but without this benefit.

What other services do you offer?

What other services do you offer?

  • Company registration in Estonia — if you ultimately require a commercial entity rather than an association
  • Registering an AS in Estonia – a public limited company for large-scale projects
  • Bank account for an Estonian company — an account is also required for an MTÜ
  • Company registration by power of attorney — if none of the founders have e-Residency
  • Registered office and contact person — mandatory for a non-resident board
  • Accountancy services — an annual report is always mandatory for an MTÜ

If you haven’t yet decided whether you need an MTÜ or an OÜ, please write to us with a brief description of what you intend to do and where you plan to source your funding. We’ll let you know straight away which structure is suitable — even if the answer turns out to be ‘not an MTÜ’.

What is an MTÜ in Estonia

An MTÜ (mittetulundusühing) is a non-profit organisation, a legal entity established to achieve its statutory purpose rather than to generate profit for its members. It is governed by the Non-Profit Associations Act (MTÜS) and is entered in the same commercial register as an OÜ and an AS.

The association’s liabilities are its own; members are not liable for them with their personal assets. The board, however, is responsible for its decisions and for the timely submission of reports.

How many founders are required?

At least two. This is the main difference from an OÜ, which is what holds up most applications: an OÜ requires only one member, whereas an MTÜ never does.

A legal entity, including a foreign one, may also act as a founder. There are no citizenship or residence requirements for either founders or board members. However, if the entire board lives abroad, a contact person must be appointed in Estonia and an address there must be provided for official correspondence.

Authorised capital and contributions

There is no share capital, nor can there be – the association has no shares and no owners. There are members, and their composition may change without the need for a notary or changes to the register.

Sources of funding: membership fees, donations, grants, and income from statutory activities. The amount and procedure for paying fees are set out in the articles of association or by a resolution of the general meeting.

Governance: general meeting and executive committee

The supreme body is the general meeting of members. It approves the articles of association, elects the executive committee, adopts the annual report and decides on the dissolution of the association.

The board — comprising at least one person — manages day-to-day operations and represents the association. The articles of association may require the joint signature of two board members — a common practice where the association administers grants.

Unlike an AS, an MTÜ does not require a supervisory board. The structure is simpler than that of a public limited company and cheaper to maintain.

Accounting and taxes

An annual report is always mandatory — even if there were no transactions on the account throughout the year. Failure to submit the report on time results in fines and, in extreme cases, compulsory removal from the register. This is the most common problem with ‘dormant’ organisations set up for a single project and then abandoned.

The first report must be submitted by 30 June of the year following the year of registration (the deadline is six months after the end of the financial year). No tax is payable on donations and contributions. If there are salaries or payments to contractors, the usual payroll taxes apply, along with a monthly TSD return. If turnover from business activities exceeds €40,000, registration as a VAT payer is required.

MTÜ, SA and OÜ: a comparison

In short: MTÜ – when there is a group of people with a common purpose. SA – when there is property and the founder’s will, which cannot be overruled by a vote. OÜ – when money must be paid out of the company to you.

Bank account for an MTÜ

Opening an account for an association is more difficult than for a company: the bank will ask where the funds will come from, who the donors are and what exactly the association does. Articles of association with a vague purpose, such as ‘the development of culture and sport’, are a common reason for refusal.

Practical steps: first, a clear set of articles of association and a project description; then, the bank. Details and alternatives (bank versus EMI) can be found on the bank account page.

How long does registration take?

Via the registration portal with digital signatures from all founders – up to five working days, often quicker. Via a notary or by power of attorney – longer, plus time for an apostille and translation.

Delays almost always occur before the registration stage, not at the registry itself: the wording of the company’s purpose hasn’t been agreed, a second founder hasn’t been found, or the name is already taken.

Frequently Asked Questions

At least two. These may be individuals or legal entities, including foreign ones. It is not possible for a single person to register an MTÜ — in that case, you should consider setting up a foundation (SA) or an OÜ.
No. A non-profit organisation has neither capital nor shares. The initial costs consist solely of government fees and services.
Yes — but commercial activities cannot be the primary objective, and all revenue must be channelled towards the organisation’s statutory purpose. It is permissible to sell tickets, run fee-paying courses or let out premises.
No. The distribution of profits amongst members is prohibited. The only legal way to receive money from an MTÜ is as a salary for actual work, with all employment taxes paid.
It isn’t essential, but it makes things easier: registration can be completed online in a few days. Without a digital signature, there are other options: a notary in Estonia or registration by power of attorney.
No. The concessions are linked to the list of organisations eligible for income tax relief, which organisations must be included in separately — by submitting an application to the Tax and Customs Department.
It is required. An annual report is mandatory for all MTÜs without exception. A ‘zero’ report is still a report.
An MTÜ has members and a general meeting, whilst an SA has no members; its governance is based on the founder’s wishes and a mandatory supervisory board. An MTÜ is more flexible and less expensive; an SA provides more reliable protection for the original purpose against changes in membership.

Been using them for monthly accounting for a few months now. Everything is submitted on time to the tax office, but communication can be a bit slow at times—had to wait longer than expected for document updates once or twice. solid 4/5 overall.

I am leaving 3 stars purely because of a delay in processing official mail. I received a system alert that a letter from the tax office arrived at the Tallinn office on Tuesday, October 6, but the PDF scan was only emailed to me on Thursday afternoon, October 8. For official state notifications, two days to process a short document creates unnecessary anxiety. That said, everything else works seamlessly: the address registration was smooth, support is always polite, and the platform itself is very convenient. Once they speed up their physical mail scanning, this will easily be a 5-star service for any business.

Owner's reply
Thank you for the honest review! We appreciate your compliments on our support and platform. You’re absolutely right about the mail delay — we’ve addressed this with our Tallinn team to speed up document scanning for time-sensitive mail. We won't let you down next time! 🤓
