A holding company structure in Estonia for crypto and iGaming projects

Author:

An Estonian holding company is an OÜ or AS that holds shares in operating companies, intellectual property and the group’s assets, thereby separating ownership from licensed operating activities. For crypto and iGaming projects, this structure achieves two objectives at once: it isolates the regulatory risk of the licensed operating company from the group’s assets and allows profits to be reinvested without immediate taxation — Estonia taxes profits only upon distribution, whilst incoming dividends from subsidiaries are exempt under the participation exemption rule for holdings of 10 per cent or more.

We set up turnkey holding structures: we design the configuration to suit your model (crypto under MiCA, iGaming, multi-jurisdictional group), register the holding and operating companies, establish substance and manage the group’s accounts — in line with licensing requirements. You receive not a collection of disparate companies, but a functioning ownership structure that is acceptable to banks, investors and regulators.

Why does a crypto/iGaming project need a holding company structure?

Why does a crypto/iGaming project need a holding company structure?

A single company that simultaneously holds a licence, conducts operations and owns assets is vulnerable: regulatory action against its operational activities jeopardises everything, including IP and accumulated profits. A holding company separates these layers:

  • Isolation of regulatory risk. The licensed operating company bears the regulatory burden; the group’s assets, IP and profits are held by the holding company. Any licensing issues affecting the operating company do not affect the holding company’s assets;
  • Consolidation of ownership. A single holding company may own several operating companies — in different market niches or jurisdictions (for example, a crypto CASP in Estonia and an iGaming company under a different regulator);
  • Tax efficiency. Dividends paid from subsidiaries to the holding company are exempt from tax where the holding company’s stake is 10 per cent or more (participation exemption), and the holding company reinvests them without immediate taxation — Estonia taxes profits only when they are distributed to ultimate owners;
  • IP ownership. It makes sense to hold technology, the brand, domains and licence rights within the holding company and to licence them to operating companies — this provides both protection and a means of structuring cash flows;
  • Preparation for investments and exit. Investors invest in the holding company, not in the licensed ‘operating company’; selling a stake or the entire business is structurally cleaner at the holding company level.
How a holding company saves on tax

How a holding company saves on tax

The core of the Estonian holding company model is the tax exemption on incoming dividends (participation exemption). The mechanism works as follows: if an Estonian holding company holds a stake of at least 10 per cent in a subsidiary, it may distribute the dividends received from that subsidiary without being subject to corporation tax.

Exemption conditions depending on the type of subsidiary:

  • Subsidiaries from the EU, the EEA and Switzerland — exemption applies where the shareholding is ≥10% (except for companies from ‘tax havens’);
  • Other foreign subsidiaries — exemption where the holding is ≥10%, provided that the underlying profit was taxed abroad or tax was withheld at source on the dividends;
  • Profits via a foreign permanent establishment (PE) in the EU/EEA/Switzerland are also exempt.

Additionally: withholding tax on dividends in Estonia is 0 per cent (WHT will be abolished entirely from 2025), therefore distributions from an Estonian holding company to non-resident ultimate beneficial owners are not subject to Estonian withholding tax. If the shareholding in a foreign company is less than 10 per cent (for example, portfolio investments in publicly traded shares), the participation exemption does not apply, but the foreign withholding tax credit method is available — this is a separate scenario which we assess.

Can a non-resident set up a holding company?

Can a non-resident set up a holding company?

Yes — 100% foreign ownership is permitted; the holding company’s shareholders may be individuals or legal entities from any country. The structural requirements depend on whether the group carries out any licensed activities:

  • A pure holding company (holding assets and shares without a licence) — the basic requirements are the same as for any OÜ: a registered office and a contact person in Estonia, and proper accounting. A resident director is not required;
  • Holding company with a licensed operating company — at the level of the operating company, regulatory requirements apply: substance, local management/MLRO, physical presence (for crypto CASP and financial licences — see the licensing pages for further details);
  • All beneficial owners undergo KYC as part of our licensed procedure — this is a requirement under Estonian AML legislation and a mandatory condition for the group’s banking onboarding.

A key practical point for non-residents: a holding company with no substantive operations (an ‘empty’ shell company) is vulnerable to both tax and banking claims. We structure the entity with sufficient substance to withstand scrutiny.

A holding structure rarely exists in isolation: it comprises licensed operating companies, and the entire group requires coordinated accounting, reporting and compliance. When the structuring, licensing and accounting for the group are handled by a single licensed provider, the regulator and the bank see a consistent picture — and you do not have to coordinate several contractors, each of whom understands only their own part of the structure.

Holding companies in Estonia: requirements, costs, timelines and taxes in 2026

Estonia does not have a specific ‘holding company regime’ as some jurisdictions do, but its general tax model – deferred corporation tax plus dividend exemption – makes the country one of the most efficient locations for holding companies in the EU. Let’s take a look at how it works in practice.

Requirements for an Estonian holding company

  • Legal form – OÜ (private limited company, the most common choice) or AS (public limited company, for large structures and preparation for listing);
  • Minimum share capital — OÜ from €0.01 per shareholder; AS — €25,000;
  • Residency — not required: shareholders and board members may be non-residents; a resident director is not required;
  • Registered office and contact person — mandatory for companies with a management board based abroad;
  • Accounting and annual report — mandatory for a holding company, as for any legal entity; if thresholds are exceeded, an audit or review is required;
  • KYC for beneficial owners — identification of ultimate beneficial owners (UBOs) is mandatory.

Step-by-step guide to setting up a holding company in Estonia

  1. Structure design — determining where the holding company and the operating companies are located, how assets, intellectual property and risks are allocated, and what the tax implications are;
  2. Registering the holding company — as an OÜ or AS via e-Residency, a notary or by power of attorney; paying up the share capital;
  3. Registering operating companies — for licensed activities (crypto/iGaming), if they form part of the structure;
  4. Establishing ownership — formalising shareholdings: the holding company as a shareholder in the operating companies; where necessary, transferring intellectual property to the holding company;
  5. Substance and banking — address, management, group accounts; for licensed companies — maintaining a physical presence in accordance with regulatory requirements;
  6. Group accounting — setting up the accounting system with the correct application of exemption from participation and the declaration of exempt dividends.

Taxes for the Estonian holding company in 2026

Current tax landscape for the holding company in 2026:

TaxHow it applies to the holding company
Corporate Income Tax (CIT)0% on undistributed/reinvested profits; 22/78 when dividends are distributed to ultimate owners
Participation exemptionIncoming dividends from subsidiaries are exempt where the shareholding is ≥10% (conditions depend on the subsidiary’s jurisdiction)
Withholding tax (WHT) on dividends0% — abolished from 2025; distributions to non-residents are not subject to Estonian withholding tax
Defence tax (from 1 January 2026)A new 2% tax on the annual profits of legal entities; profits from subsidiaries and foreign permanent establishments are deducted from the tax base

We would like to highlight separately the new 2 per cent defence tax, introduced on 1 January 2026: it is calculated on the company’s annual profit, but profit derived from subsidiaries and foreign permanent establishments is deducted from the tax base — meaning the impact on a properly structured holding company is minimal. This is a recent change that many competitors’ materials have not yet taken into account; we factor it into our structural calculations.

Cost of setting up a holding company

Expense itemAmount
Authorised capital of an OÜFrom €0.01 (AS — €25,000)
State registration fee€265 per legal entity
Turnkey structuring and registrationFrom €1,500
Registered address + contact person€280 per year per legal entity
Group accountingFrom €300 per month (depending on the number of companies and transaction volume)

We provide an accurate quote once the structure has been designed: the cost depends on the number of legal entities, whether any licensed activities are involved, and the required substance.

Timelines

Registration of each legal entity — 1–5 working days (via e-Residency) or 5–10 days by power of attorney. Structure design — usually 1–2 weeks, depending on the complexity of the group and the number of jurisdictions. If the structure includes a licensed operating company, the overall timeframe is determined by the licensing process (crypto/financial licence – from several months); the holding company structure itself can be registered in parallel with preparations for the licence.

Specifics of a crypto holding company

For crypto projects, the holding company serves a specific purpose: the operating company obtains a CASP licence under the MiCA regulations and bears the full regulatory burden, whilst the holding company holds treasury tokens, the protocol’s IP, the brand and equity stakes — separately from the licensed scope. This protects assets in the event of regulatory changes (and crypto regulation changes rapidly) and simplifies the process of raising investment for the holding company without affecting the licence. The licence itself is obtained via the crypto licence page; here, we are responsible for the ownership structure surrounding it.

Specifics of an iGaming holding company

iGaming is a regulated and reputation-sensitive sector where the separation of layers is particularly important: the gaming licence (Estonian or foreign), the payment infrastructure, platform IP and ownership are typically spread across different legal entities under an umbrella Estonian holding company. The Estonian holding company acts here as a tax-efficient centre for ownership and consolidation of the group’s profits, as well as a transparent structure for investors. We design the specific configuration (which activities in which jurisdiction, and where the holding company is located) to suit your licensing strategy.

Frequently Asked Questions

This is an OÜ or AS that holds shares in operating companies, intellectual property and the group’s assets, thereby separating ownership from operational (including licensed) activities. Estonia is attractive to holding companies due to deferred corporation tax and the exemption of incoming dividends for holdings of 10 per cent or more.
If an Estonian holding company holds a stake of at least 10 per cent in a subsidiary, the dividends received from that subsidiary may be distributed further without being subject to corporation tax. For subsidiaries from the EU/EEA/Switzerland, the exemption applies directly; for other foreign subsidiaries, it applies provided that the profits have been taxed abroad. For shareholdings of less than 10 per cent, the foreign tax credit method applies.
0% on undistributed and reinvested profits; 22/78 when dividends are distributed to ultimate beneficial owners. There is no withholding tax on dividends (abolished from 2025). From 2026, a 2 per cent defence tax applies to the profits of legal entities, but profits from subsidiaries and foreign permanent establishments are deducted from its tax base.
Yes, 100 per cent foreign ownership is permitted; a resident director is not required. For a pure holding company, the requirements are basic (address, contact person, accounting); if the structure includes a licensed operating company, the regulator’s requirements regarding substance apply. All beneficial owners undergo KYC checks.
To separate regulatory risk from assets: the licensed operating company bears the regulatory burden, whilst the IP, treasury tokens, brand and profits are held by the holding company and are protected in the event of licence issues. The holding company also simplifies the consolidation of multiple licences and the raising of investment.
For each legal entity: authorised capital for an OÜ from €0.01, state fee of €265, plus structuring services and a registered address/contact person. Registration of a single legal entity takes 1–5 working days; structuring takes 1–2 weeks. If the structure includes a company requiring a licence, the total timeframe is determined by the licensing process.
As a pure holding company, the holding company itself does not require a specific licence. A licence is required for the operating companies within it if they carry out regulated activities (crypto-CASP, financial services, iGaming). We design the structure so that the licensed scope is clearly separated from the holding company.
Yes. A holding company is a fully-fledged legal entity: it maintains its own accounts, submits an annual report, and the dividends distributed are declared in a special tax return. For groups, accurate accounting at holding company level is crucial – otherwise, the tax benefits of the structure are lost. We manage the accounts for the entire group in a coordinated manner.
